Affiliate Program Agreement & Code of Conduct

Overview

This Affiliate Agreement governs your application to, and participation in, Ekklesia T.E.C.H.’s Affiliate Program and incorporates by reference the Terms of Service and Privacy Policy. Participation affirms authority to bind your entity, if applicable, and compliance with all laws and platform terms.

“Ekklesia T.E.C.H.” means Ekklesia T.E.C.H., Inc. “Affiliate” means the approved participant.

1. Program Application

Provide accurate information. Acceptance is at Ekklesia T.E.C.H.’s sole discretion. You consent to be contacted via the information provided, including text messaging with opt-out by replying STOP. Messaging programs may be modified, suspended, or terminated at any time.

2. Program Rules

Comply with Exhibit A (Code of Conduct), applicable laws and platform terms, including FTC Endorsement Guides, and Exhibit B (Disclosure Requirements). Material breach may trigger immediate termination and forfeiture of commissions.

3. Compensation

On acceptance, you’re issued an Affiliate ID for tracking. Sales are last-click within 90 days, subject to exclusions and Ekklesia T.E.C.H.’s discretion. Commissions are payable after qualification, including 45 days in good standing and valid payout setup.

Current Commission Rates: Single Location 40%, Agency Unlimited 40%, Agency Pro (SaaS) 40%, White Label Mobile App 40%, Certifications 40%.

Payouts are typically made on the 15th of the following month in USD, net of taxes and fees, with a $50 minimum threshold and 120-day forfeiture if the threshold isn’t reached. Fraud, self-referrals, violations, refunds, or chargebacks may be withheld or reversed. Sanctions compliance is required.

4. Intellectual Property; Media

Ekklesia T.E.C.H. owns all Ekklesia T.E.C.H. Materials and IP. You receive a limited, non-transferable license to use approved materials solely for the Program, subject to brand guidelines. You grant Ekklesia T.E.C.H. rights to use Program-related content you create and your likeness in connection with Program activities.

5. Term and Termination

Either party may terminate with 30 days’ notice. Ekklesia T.E.C.H. may suspend or terminate immediately for breach and freeze commissions. Upon breach-based termination, unpaid commissions are forfeited.

6. Additional Representations and Warranties

You represent there are no active government investigations or consumer-protection lawsuits involving you. Notify Ekklesia T.E.C.H. within 24 hours if that changes. Ekklesia T.E.C.H. may terminate based on such matters.

7. Entire Agreement

This Agreement is the entire agreement for the Program and supersedes prior discussions unless a separate written agreement states otherwise.

8. Independent Contractor

You’re an independent contractor, not an employee or agent. You’re responsible for your acts, taxes, and compliance. Any recommendations provided by Ekklesia T.E.C.H. are informational.

9. No Guarantee

Ekklesia T.E.C.H. doesn’t guarantee income, success, or leads. The Program is not a business opportunity or franchise.

10. Limitation of Liability

To the extent allowed by law, Ekklesia T.E.C.H. isn’t liable for indirect or consequential damages. Aggregate liability is limited to the lesser of three times the fees you paid in the prior month or $1,500.

11. Dispute Resolution; Class Action Waiver

Governing law is Texas with venue in Austin, subject to consumer protections. Claims must be brought within one year. Parties will attempt resolution and mediation before litigation. All disputes are resolved individually; class actions and class arbitrations are waived.

Exhibit A. Code of Conduct

Follow policies; make truthful, typical claims; avoid earnings promises, defamation, illegal content, IP violations, malware, deceptive SEO, cookie stuffing, spam, impersonation, and prohibited ad placements. Email and texting must comply with CAN-SPAM and TCPA. Use brand materials only as authorized. No unauthorized discounts or sub-affiliate networks. Honor removal requests and maintain accounts.

Exhibit B. Disclosure Requirements

Disclose material connections clearly and conspicuously per FTC Endorsement Guides. Disclosures must appear where the endorsement appears. Platform tools are additive, not a substitute.

Examples: #ad when Ekklesia sponsors, “Sponsored by Ekklesia T.E.C.H.”, “I am a paid affiliate marketer for Ekklesia T.E.C.H.”, and “This is an affiliate link and I receive commissions for purchases through it.” Not sufficient alone: #partner, #ambassador, #collab, #gifted, tags/@mentions only, campaign hashtags only, or using only a platform’s branded content tool.
